These services are exclusively for registered businesses, trading entities, and commercial organizations. Individual consumers and personal use are not covered under these terms.
By accessing or using the NEXGEN EXIM website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
Services & Your Responsibilities
What We Do
NEXGEN EXIM provides international trading and procurement services across chemicals, construction materials, FMCG products, machinery, spare parts, and other commodities.
Your Obligations
- β’Confirm your business is registered and authorized for commercial import/export
- β’Provide accurate information and maintain account security
- β’Comply with all Indian export laws (DGFT, FEMA) and destination country import regulations
- β’Obtain all necessary IEC codes, licenses, permits, and clearances
- β’Not engage in transactions violating UN, US, EU, or Indian sanctions
Quotations, Orders & Payment
Quote Requests
Quotes are non-binding inquiries, valid for 30 days, subject to product availability.
Order Confirmation
Orders are confirmed only upon written confirmation from NEXGEN EXIM. We may refuse or cancel orders.
Pricing
All prices in USD, subject to change. Excludes shipping, insurance, customs, and taxes unless stated.
Payment
Full payment required before shipment unless credit terms approved in writing.
Shipping & Delivery
Incoterms Apply
All shipments governed by agreed Incoterms (FOB, CIF, DDP, etc.). Our responsibility is limited to these terms. Risk of loss and title pass to you per the agreed Incoterms.
Delivery Times: Estimates are approximate and subject to supplier availability, shipping conditions, and customs clearance. We're not liable for delays beyond our control.
Returns, Quality & Warranties
Returns & Refunds
Due to international bulk trading, returns handled case-by-case. Claims for defective/incorrect products must be made within 7 days of delivery with supporting documentation including inspection reports.
Product Quality & Specifications
We facilitate transactions between buyers and manufacturers/suppliers. Products must meet specifications agreed in the purchase order. Quality certificates, test reports, and compliance documents will be provided as per agreement.
Manufacturer warranties (if any) are passed through to buyers. We assist in warranty claims but are not the warrantor. Our liability is limited to facilitating resolution between buyer and supplier.
Limitation of Liability
Subject to applicable law and except in cases of gross negligence or willful misconduct, NEXGEN EXIM's liability is limited as follows:
Direct Damages:
Our liability for direct damages shall not exceed the total fees paid by you for the specific transaction giving rise to the claim.
Indirect Damages - Not Liable For:
- βLoss of profits or revenue
- βBusiness interruption losses
- βForce majeure events
- βCustoms or regulatory actions
These limitations apply to the fullest extent permitted under Indian law and the law of your jurisdiction. Nothing herein excludes liability that cannot be excluded under applicable law.
Legal & Intellectual Property
Intellectual Property
All website content is property of NEXGEN EXIM Pvt. Ltd., protected by copyright and trademark laws.
Indemnification
You indemnify NEXGEN EXIM from claims arising from your use of services or violation of these terms.
Force Majeure
Not liable for failures due to events beyond our control (disasters, war, pandemics, etc.).
Termination
We may terminate access for violations or harmful conduct without notice.
Export Compliance & Regulations
All transactions are subject to Indian export regulations as governed by the Director General of Foreign Trade (DGFT), Foreign Exchange Management Act (FEMA), and applicable international trade laws.

- β’ Ensure compliance with destination country's import regulations
- β’ Obtain necessary import licenses and permits
- β’ Pay all applicable duties, taxes, and customs fees
- β’ Comply with product-specific regulations and certifications
We reserve the right to refuse transactions to sanctioned countries, entities, or individuals under Indian, UN, US, or EU sanctions programs.
Governing Law & Dispute Resolution
Governing Law
These terms are primarily governed by the laws of India. However, we acknowledge that certain mandatory laws of your jurisdiction may also apply and cannot be excluded by agreement.
Jurisdiction
The courts of Ludhiana, Punjab, India shall have exclusive jurisdiction for disputes, subject to the arbitration clause below.
Arbitration
Any dispute arising from these terms shall first be attempted to be resolved through good-faith negotiation within 30 days. If unsuccessful, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. Arbitration proceedings shall be in English and held in Ludhiana, Punjab, India.
Changes to Terms
We may modify these terms anytime. Changes are effective upon posting. Continued use constitutes acceptance.
